Terms and Conditions of Service – ISO Implementation Programs
These Terms and Conditions (“Terms”) apply to all ISO implementation, training, and support services (“Services”) provided by The Manufacturing Growth Hub Pty Ltd (“we”, “us”, “our”) to the client (“you”, “your”).
1. Program Structure and Fees
1.1 Our ISO Implementation Programs operate under the following plans:
● Support Plan – $375 per week (plus GST): includes 1 hour per fortnight of project management and strategic planning, plus up to 4 hours per month of our team’s time (inclusive of the 2-hour strategy sessions).
1.2 All pricing excludes certification body fees, travel, or any additional services not expressly included above.
1.3 Additional work outside the agreed scope (e.g. documentation preparation, corrective actions, training, etc.) will be charged at $75 per hour (plus GST) for support consultants.
2. Payments
2.1 Payment must be made prior to the start of the first session unless otherwise agreed in writing.
2.2 Weekly payments are due in advance via direct debit, EFT, or other approved payment methods.
2.3 If two (2) consecutive payments are missed, the contract will be cancelled immediately, and your reserved spot in our calendar will be forfeited.
2.4 Travel costs (if applicable) must be paid at least 7 days prior to the travel date. If payment is not received, you will be liable for any travel-related costs incurred, including lost time or cancellation fees.
3. Scheduling and Cancellations
3.1 All sessions are scheduled within designated timeframes set at the start of your program.
3.2 Rescheduling is only permitted more than 72 hours prior to a booked session. If no suitable alternate time is found, the session will be forfeited.
3.3 Cancellations made within 72 hours of a booked session will be charged in full.
3.4 Missed or unattended sessions without notice are deemed forfeited.
3.5 Sessions must be completed within the agreed program timeframe. Extensions are at our sole discretion and may incur additional costs.
4. Travel and Onsite Services
4.1 If onsite attendance is requested, you are responsible for all travel, accommodation, and associated expenses.
4.2 Travel must be prepaid at least 1 week before travel. If payment is not received, the visit may be cancelled, and any associated time or costs will be invoiced.
5. Certification and Liability
5.1 Certification audits and certification costs are not included in our program fees.
5.2 We will not be held liable for certification outcomes or loss of certification, except where we have conducted the internal audit for that certification cycle.
5.3 Our total liability for any loss, claim, or damages is limited to the total fees paid for the Services during the 3-month period preceding the claim.
6. Client Responsibilities
6.1 You agree to:
● Provide timely access to staff, records, and information necessary to perform the Services.
● Attend all scheduled sessions.
● Maintain open communication and follow through on assigned actions.
6.2 Failure to provide requested information or attend sessions may impact deliverables and does not entitle you to refunds or time extensions.
6.3 You will be required to complete tasks between our sessions. If these tasks are not completed the initial proposed timeframe will be extended.
7. Confidentiality
Both parties agree to keep all proprietary or confidential information strictly confidential and not to disclose it to any third party without written consent, except as required by law.
8. Intellectual Property
All templates, materials, and tools provided remain our intellectual property and are licensed for your internal business use only. They must not be resold, redistributed, or shared externally without written approval.
9. Termination
9.1 You may terminate the agreement at any time with 14 days’ written notice; however, any unused sessions or prepaid time are non-refundable.
9.2 We may terminate the agreement for non-payment, breach of terms, or conduct that makes continued service impractical.
10. Dispute Resolution
Any dispute must first be raised in writing by either party. Both parties will use best efforts to resolve the matter in good faith within 14 days.
If unresolved, the dispute will be referred to mediation before any legal action is taken.
11. Force Majeure
We are not liable for delays or non-performance due to events beyond our control, including illness, natural disasters, travel restrictions, or other unforeseen circumstances.
12. Governing Law
These Terms are governed by the laws of Victoria, Australia
